(NYSE: SWI) (“SolarWinds”, the “Company”, “we”, “us” or “our”), a leading provider of powerful and affordable IT management software, today announced that the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended (the “HSR Act”), applicable to its proposed acquisition by an affiliate of Silver Lake Partners (“Silver Lake”) and Thoma Bravo, LLC (“Thoma Bravo”), was terminated early by the United States Federal Trade Commission and the Antitrust Division of the United States Department of Justice on November 12, 2015.
As previously announced on October 21, 2015, SolarWinds has entered into a definitive agreement (the “Merger Agreement”) to be acquired by leading private equity technology investment firms Silver Lake and Thoma Bravo in a transaction valued at approximately $4.5 billion (the “Merger”). Termination of the HSR Act waiting period is one of the specified conditions to which closing of the Merger is subject.
