VANCOUVER, BRITISH COLUMBIA — (Marketwired) — 02/25/15 — Uniserve Communications Corporation (the “Company” or “Uniserve”) (TSX VENTURE: USS) announces that it will proceed with its proposed share consolidation on the basis of five (5) pre-consolidated common shares for one (1) post-consolidated common share. The consolidation was approved by the shareholders of Uniserve Communications Corporation at a Special Shareholder–s Meeting held on February 24th. 2015.
Uniserve currently has 65,437,809 shares issued and outstanding. On a post-consolidation basis there will be approximately 13,087,561 shares issued and outstanding. Uniserve will not change its name, or its trading symbol, as part of the consolidation but will issue new share certificates under a new CUSIP number.
Further to its news release of December 10, 2014, Uniserve also announces that on February 4, 2015 the TSX Venture Exchange accepted for filing the Company–s amended proposal to issue 15,568,764 common shares to settle $889,549 worth of debt. These shares were issued on February 11, 2015 and the debt has been extinguished.
