On July 18, 2013, Schaeffler Holding successfully placed approximately ?1.5 billion of senior secured HoldCo bonds on the international capital markets. The issue was more than four times oversubscribed. The bond issue was part of the refinancing agreement of ?3.875 billion that Schaeffler Holding signed with its bank lenders on July 16, 2013. The bonds were placed in a short period of time with international investors in Europe and the US.
The issue consists of one Euro tranche and one US-Dollar tranche. The Euro tranche has a volume of ?800 million and the US-Dollar tranche totals $1,000 million. Both tranches have a coupon of 6,875 percent and a maturity of five years.
The bonds will be issued by Schaeffler Holding Finance B.V. and guaranteed by Schaeffler Verwaltungs GmbH. They will be listed on the Euro MTF market of the Luxembourg Stock Exchange. Standard & Poor-s and Moody-s have rated the bonds B- and B2, respectively.
The net proceeds from the high yield bonds will be used to partially prepay outstanding bank loan facilities. The remaining bank loan volume was refinanced with improved terms and conditions. Through these measures, Schaeffler Holding-s cost of debt will be significantly reduced.
